Acceptance of Terms
By accessing or using the Vintner website at vintner.app or the Vintner platform (collectively, the “Service”), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use the Service.
The Service
Vintner is an all-in-one platform for boutique wineries, providing branded websites, wine club management, vineyard and inventory tracking, galleries, and direct-to-consumer sales tools. We may add, change, or remove features over time as we continue to improve the Service.
Accounts
To use most features you must create an account and provide accurate, complete, and current information. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
Subscriptions and Billing
Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. Fees, billing frequency, and plan limits are described at the time of purchase. There are no long-term contracts — you may cancel at any time, and cancellation takes effect at the end of your current billing period. Fees are exclusive of taxes, which you are responsible for where applicable.
Your Content and Data
You retain ownership of the content and data you upload to the Service, including your branding, wines, images, and member information. You grant us a limited license to host, process, and display that content solely to operate and provide the Service. You are responsible for ensuring your content is lawful and that you have the rights and consents needed to use it, including obligations to your own members and customers.
Acceptable Use
You agree not to misuse the Service: no unlawful activity, no attempts to disrupt, reverse engineer, or gain unauthorized access to the platform, and no use that infringes the rights of others. If you sell alcohol through the Service, you are responsible for complying with all applicable laws, including age verification, licensing, and shipping regulations.
Intellectual Property
The Service — including its software, design, and the Vintner name and logo — is the exclusive property of Vintner and is protected by copyright, trademark, and other laws. Your own winery branding and content remain yours. Nothing in these terms grants you any right to our intellectual property except the limited right to use the Service as permitted here.
Third-Party Services
The Service integrates with third parties such as Stripe for payments and other providers for hosting and email. Your use of those services may be subject to their own terms and privacy policies, and we are not responsible for their practices.
Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
Limitation of Liability
To the maximum extent permitted by law, Vintner and its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising from your access to or use of (or inability to use) the Service.
Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these terms or use the Service in a way that could cause harm or legal liability. Upon termination, your right to use the Service ends; provisions that by their nature should survive (such as ownership, disclaimers, and limitations of liability) will continue to apply.
Governing Law
These terms are governed by and construed in accordance with the laws of the state in which Vintner is registered, without regard to its conflict of law provisions.
Changes to These Terms
We may update these Terms of Service from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated terms.
